1. Agreement to Terms

By accessing and using Liwoz (liwoz.com), you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this service.

2. Use License

Liwoz grants you a limited, non-exclusive, non-transferable license to use the Liwoz service for lawful purposes only. You agree not to:

• Use Liwoz for any unlawful or fraudulent purpose
• Reverse engineer, decompile, or attempt to derive the source code of Liwoz
• Engage in any behavior that restricts or inhibits anyone's use or enjoyment of Liwoz
• Harass, abuse, threaten, or otherwise violate the legal rights of others through Liwoz
• Upload, post, or transmit any malware, viruses, or harmful code

3. Plans and Pricing

3.1 Available Plans

• Free: €0/month — unlimited projects, unlimited team members
• Starter: €9/month — all features, priority support
• Pro: €19/month — AI assistant, advanced integrations
• Business: €49/month — everything, SLA support

3.2 Billing

• Billing is charged monthly or annually (20% discount for annual)
• You authorize us to charge your payment method on the billing date
• All prices are inclusive of taxes (if applicable)
• Invoice history is available in your account

4. Cancellation and Refunds

4.1 Free Plan

You can delete your account anytime. No notice required.

4.2 Paid Plans

• Cancel anytime via account settings — no notice required
• Cancellation takes effect at the end of your billing period
• Refunds are not provided for partial months
• You can export your data before cancellation

5. Content and Responsibility

5.1 User Content

You are responsible for all content you upload to Liwoz (tasks, comments, files, etc.). You grant Liwoz a non-exclusive license to use this content to provide the service.

5.2 Prohibited Content

You agree not to upload:

• Content that is illegal, defamatory, or violates rights of others
• Malware, viruses, or code intended to harm systems
• Content that infringes intellectual property rights
• Spam or unsolicited content

6. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, LIWOZ INC., ITS AFFILIATES, AND THEIR OFFICERS, DIRECTORS, AND EMPLOYEES SHALL NOT BE LIABLE FOR:

• Any indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or use of the service
• Damages from unauthorized access or data breaches (except due to our negligence)
• Interruption, suspension, or termination of the service

6.1 Cap on Liability

Our total liability to you shall not exceed the amount you paid to Liwoz in the 12 months preceding the claim, or €100, whichever is greater.

7. Indemnification

You agree to indemnify and hold harmless Liwoz Inc., its affiliates, and their officers, directors, and employees from any claims arising from:

• Your use of Liwoz
• Your breach of these terms
• Your infringement of any rights
• Your content uploaded to Liwoz

8. Termination

Liwoz may terminate or suspend your account if you:

• Violate these terms
• Engage in fraud or abuse
• Fail to pay for paid plans after 30 days
• Use Liwoz for unlawful purposes

We will provide notice of termination unless immediate termination is necessary for security or legal reasons. Upon termination, you can export your data within 30 days.

9. Disclaimer of Warranties

Liwoz is provided on an "AS IS" and "AS AVAILABLE" basis. Liwoz Inc. makes no warranties, whether express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement.

10. Governing Law

These Terms of Service are governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of laws principles.

11. Dispute Resolution

11.1 Informal Resolution

Before initiating legal proceedings, you and Liwoz agree to attempt to resolve any dispute informally. Email legal@liwoz.com with your complaint.

11.2 Arbitration

Any claim arising from or related to these terms (except IP infringement claims) shall be resolved by binding arbitration in Delaware, under the American Arbitration Association (AAA) rules. Each party bears its own costs.

12. Entire Agreement

These Terms of Service, along with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and Liwoz and supersede all prior agreements and understandings.
